These Terms of Service ("Terms") govern your use of Archidian, Inc. ("Archidian" or "we") website and services (the "Service"). By using the Service, you agree to these Terms.

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Intended Users

The Service is designed for professionals such as architects, engineers, general contractors, and city or municipal staff seeking to expedite construction document reviews.

2. Beta Disclaimer

The Service is currently offered in a closed beta. Features may change, errors may occur, and we make no guarantees of availability, accuracy, or reliability. We may modify or discontinue the Service at any time.

3. Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for safeguarding your account credentials.
  • We may suspend or terminate accounts for misuse or violations of these Terms.

4. Acceptable Use

You agree not to:

  • Upload content that is unlawful, harmful, or infringing.
  • Use the Service to process content you do not have rights to submit.
  • Attempt to interfere with or reverse-engineer the Service.
  • Use the Service in ways that violate applicable laws or regulations.

5. Ownership & License

  • Your Content: You retain ownership of documents and files you upload. By submitting them, you grant us a limited license to process the content solely for providing the Service.
  • Archidian Content: The Service, including all software, features, and branding, is owned by Archidian and protected under intellectual property laws.

6. Third-Party Services

The Service may rely on third-party providers for hosting, storage, and data processing. While we take reasonable steps to ensure their reliability, we are not responsible for their policies or practices.

Archidian relies on third-party platforms including Railway and Supabasefor cloud hosting, databases, and authentication. We are not responsible for interruptions or data loss caused by third-party service failures, outages, or policy changes.

7. Termination

We may suspend or terminate your access at any time if you violate these Terms or if required by law. Upon termination, your right to use the Service ends immediately.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. We do not guarantee that the Service will be error-free, uninterrupted, or produce specific outcomes.

8A. AI-Assisted Review Disclaimer

The Service provides AI-assisted analysis of construction documents. All outputs, flags, summaries, and suggested issues are generated algorithmically and are intended solely as advisory information to support user review.

Archidian does not guarantee that the Service will identify all code issues, conflicts, or non-compliant conditions. Results may contain errors, omissions, false positives, and false negatives.

Archidian is not a licensed architectural, engineering, or code consulting firm. The Service does not provide stamped drawings, official approvals, or professional code interpretations. All final decisions, judgments, and compliance determinations are the responsibility of the user and/or their licensed design professionals.

By using the Service, you acknowledge that you understand these limitations and assume all risks associated with reliance on AI-generated outputs.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Archidian shall not be liable for indirect, incidental, special, or consequential damages.
  • Our total liability for any claims shall not exceed the amount you paid to use the Service in the 12 months before the claim (for beta users, $0).

9.1 Refunds and Service Availability

The Service is provided without any uptime guarantee or refund policy. Since the beta program is offered for testing and feedback, no refunds or service credits are provided under any circumstance.

9.2 Data Security

Archidian is not liable for any unauthorized access to, or disclosure of, User content except in cases of Archidian's gross negligence.

10. Indemnification

You agree to indemnify, defend, and hold harmless Archidian, its officers, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or reliance on the Service or any AI-generated outputs; (b) your violation of these Terms; or (c) any claim brought by a third party relating to your projects, documents, or decisions made using the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

12. Dispute Resolution & Arbitration

Any dispute or claim arising from these Terms or the Service will be resolved through binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Austin, Texas, unless otherwise agreed by both parties.

  • Each party shall bear its own legal costs, but the filing and administrative costs of arbitration will be split evenly.
  • No class actions or collective proceedings are permitted.
  • Judgment on the arbitration award may be entered in any court of competent jurisdiction.

13. Changes

We may update these Terms periodically. Continued use of the Service after updates constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms constitute the entire agreement between you and Archidian regarding the Service and supersede all prior or contemporaneous communications, proposals, or representations, whether oral or written.
