Terms of Service

1. The Service

Archidian provides AI-driven analysis for construction documentation.

• "As-Is" Basis & Disclaimer of Warranties: THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. ARCHIDIAN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE SPECIFICALLY DISCLAIM ANY WARRANTY THAT THE SERVICE WILL IDENTIFY ALL ISSUES, ERRORS, OR CODE VIOLATIONS IN YOUR DOCUMENTS, OR THAT THE OUTPUTS WILL BE 100% ACCURATE OR ERROR-FREE.
• Modifications: We reserve the right to modify, suspend, or discontinue features at our sole discretion to improve model accuracy or system performance without prior notice.

2. Nature of Service & Professional Responsibility

Archidian utilizes advanced AI models and vision-analysis technologies to assist in document review.

• Supplementary Tool, Not Exhaustive: The Service is a supplementary QA/QC tool, not a complete, exhaustive, or certified review. AI technology has inherent limitations and will not catch every issue, error, conflict, or code violation. It may produce incomplete results or "false positives."
• Not Licensed Professionals: Archidian LLC is a technology company, not a licensed architecture, engineering, or construction firm. We do not hold professional licenses, nor do we provide stamped drawings, official approvals, or code-compliance certifications. The Service does not constitute architectural, engineering, or legal advice and does not replace official plan review by building departments.
• User Duty & Human Oversight: The User retains 100% responsibility for independently verifying all AI outputs against official building codes and professional standards before relying upon them. The Service must never be the sole basis for structural, life-safety, or high-cost construction determinations.

3. Intellectual Property (IP)

• Your Content: You retain all ownership and copyright of uploaded files. By using the Service, you grant Archidian a limited, non-exclusive license to host and process this content solely to provide the Service to you.
• User Permissions: You represent and warrant that you have all necessary rights, permissions, and authority to upload, submit, and use any Construction Documents or other content through the Service, and to allow Archidian LLC to host, process, analyze, and generate outputs from that content solely to provide the Service.
• No Training on Your Data: Your uploaded Construction Documents and related analysis data are never used to train, fine-tune, or improve any AI or machine learning models. Third-party AI services used to process Construction Documents are configured for zero data retention and no training on customer content, except for transient processing necessary to provide the Service.
• Our IP: You shall not decompile, reverse-engineer, or "scrape" our AI workflows. You may not use Archidian's outputs to train a competing AI model.

4. Technical Infrastructure & Security

The Service operates on a professional-grade stack, including Next.js, Supabase, and Google Cloud Platform (GCP).

• Security: We employ AES-256 encryption and server-side processing to protect your data.
• Third-Party Failures: While we select top-tier providers (GCP, Railway, Supabase), Archidian is not liable for service interruptions or data loss caused by these external infrastructure providers.
• Data Deletion: Per our Privacy Policy, document deletion is currently a manual process. Users must email [email protected] to request permanent data removal.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• EXCLUDED DAMAGES: IN NO EVENT SHALL ARCHIDIAN LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR YOUR RELIANCE ON ITS OUTPUTS. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM:
• CONSTRUCTION DEFECTS, REWORK, STRUCTURAL FAILURES, OR LIFE-SAFETY INCIDENTS;
• ISSUES, ERRORS, CONFLICTS, OR CODE VIOLATIONS THAT THE SERVICE FAILED TO IDENTIFY (MISSED FINDINGS), OR INCORRECT FINDINGS THE SERVICE DID REPORT (FALSE POSITIVES);
• PERMIT DENIALS, PLAN-REVIEW REJECTIONS, CONSTRUCTION DELAYS, LIQUIDATED DAMAGES, OR PROFESSIONAL ERRORS AND OMISSIONS.
• LIABILITY CAP: OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR $100.00 USD FOR FREE TIER USERS).
• EXCEPTION: NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY ARISING FROM OUR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.

6. Indemnification

You agree to defend, indemnify, and hold harmless Archidian LLC and its officers, directors, employees, and agents from and against any and all third-party claims, demands, lawsuits, losses, damages, liabilities, judgments, and reasonable expenses (including attorneys' fees) arising out of or related to:

• Any construction project, building, or structure associated with documents you submitted to the Service;
• Your reliance on, or use of, any AI-generated output, finding, or analysis produced by the Service;
• Your failure to independently verify outputs, obtain required permits and official plan reviews, or engage appropriately licensed professionals;
• Your misuse of the Service, your violation of these Terms, or your upload or submission of Construction Documents or other content without the necessary rights, permissions, or authority.

7. Billing, Subscriptions, and Sheets

• Subscriptions: Professional plans are billed at the organization level on a monthly recurring basis. Subscriptions auto-renew at the then-published rate until cancelled. You may cancel at any time through your account settings or the billing portal; cancellation takes effect at the end of the current billing period, after which the organization reverts to Pay-as-you-go behavior.
• Sheet Packs: One-time sheet pack purchases do not expire. Sheet packs are non-refundable once any sheet from the pack has been used.
• Sheet Credits: Sheets are a usage credit for the Service, not currency. Sheets are non-transferable between accounts, cannot be exchanged for cash, and are forfeited if an account is terminated for cause.
• Complimentary Access: Any complimentary sheet grants, sample reviews, or trial access are provided at Archidian's sole discretion, may be time-bounded, and may be revoked at any time. Complimentary access does not constitute a contract for future service.
• Material Changes: We may modify pricing or sheet terms with at least thirty (30) days' advance notice. Material changes that take effect during an active billing period will not affect that period; subscribers may cancel before the new terms take effect.

8. Governing Law & Arbitration

These Terms are governed by the laws of the State of Texas. Any dispute shall be resolved via binding arbitration in Austin, Texas, on an individual basis. Class action lawsuits and jury trials are strictly prohibited.

9. User Representations and Warranties

By using the Service, you represent and warrant that:

• You will engage appropriately licensed professionals (e.g., architects, engineers, contractors) for your construction projects.
• You will obtain all required permits, approvals, and official plan reviews from appropriate governmental authorities.
• You will independently verify all findings and outputs from the Service before relying on them.
• You will not rely solely on the Service for code compliance, safety, or quality assurance.
